Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Fintech LLC ("we", "our", or "us"), operating under the brand name Hodar AI, a company registered in Oman.

By creating an account or using our platform at www.hodar.ai (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

Hodar AI is an AI-powered omnichannel messaging platform that enables businesses to:

• Manage customer conversations across WhatsApp and Instagram from a unified inbox.
• Use artificial intelligence (powered by OpenAI) to draft, suggest, or automatically send responses to customer messages.
• Access analytics, reporting, and workflow automation for customer communications.

You must provide accurate and complete information when creating an account. You are responsible for:

• Maintaining the security of your login credentials.
• All activity that occurs under your account.
• Ensuring that your use of the Service complies with all applicable laws and regulations.
• Obtaining any necessary consent from your customers before processing their messages through our platform.

You must notify us immediately at support@hodar.ai if you suspect unauthorized access to your account.

You agree not to use the Service to:

• Send spam, unsolicited messages, or bulk promotional content.
• Transmit illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
• Violate any applicable laws, regulations, or third-party rights.
• Violate Meta's (WhatsApp / Instagram) platform policies or terms of service.
• Attempt to reverse engineer, decompile, or extract the source code of the Service.
• Interfere with or disrupt the Service, its servers, or networks connected to the Service.
• Use the Service for any purpose that is fraudulent, deceptive, or misleading.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5.1 Free Tier

We may offer a free tier with limited features and usage quotas. Free tier availability, features, and limits are subject to change at our discretion.

5.2 Paid Plans

Paid plans are billed on a monthly or annual basis as selected during signup. Prices are listed on our website and may be updated with 30 days' prior notice.

5.3 Refunds

Payments are non-refundable except where required by applicable law. If you cancel a paid plan, you will retain access until the end of the current billing period.

6.1 Our Property

The Service, including its design, code, features, documentation, and branding, is owned by Fintech LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

6.2 Your Content

You retain ownership of all data, messages, and content you submit through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing the Service to you.

6.3 AI-Generated Content

Responses generated by the AI are provided as suggestions. You are solely responsible for reviewing, approving, and sending any AI-generated messages to your customers. We make no guarantees regarding the accuracy, completeness, or appropriateness of AI-generated content.

Our handling of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that customer messages will be processed by third-party AI providers (OpenAI) for the purpose of generating responses.

The Service is provided on an "as is" and "as available" basis. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI-generated responses will be accurate or suitable for any purpose.
• The Service will meet all of your specific requirements.

We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control.

To the maximum extent permitted by law, Fintech LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to:

• Loss of revenue, profits, or business opportunities.
• Loss of data or data breaches caused by third-party services.
• Actions taken based on AI-generated content or automated responses.
• Service interruptions or downtime.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Fintech LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Content you send through the Service, including AI-generated messages.

You may terminate your account at any time by contacting us or using the account deletion feature in the platform.

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or if we are required to do so by law. Upon termination:

• Your right to access the Service ceases immediately.
• We will retain your data for 30 days to allow for export, after which it will be permanently deleted.
• Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will survive.

These Terms are governed by and construed in accordance with the laws of the Sultanate of Oman. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Oman.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

• Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Fintech LLC regarding the Service.
• Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver — our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment — you may not assign or transfer your rights under these Terms without our prior written consent.
